Introduction
Welcome to HCP Space, an HCP Community and Learning platform designed for registered health care professionals (“HCPs”) such as doctors, nurses, pharmacists, medical technicians etc. Registered HCPs can access the platform website and the native app through their Android or iOS mobile and iPad devices free of charge and use it for the purpose as described in the section “Purpose of Services” below. In order to be able to access HCP Space, you need to agree to the terms and conditions of use set out in this document, including its Annexure 1. Your use of the Services is also subject to our Cookie Policy and Privacy Policy which covers how we will store and collect your personal information.
No HCP is eligible/permitted to be a member of HCP Space or even use the HCP Space if you are a resident of any of the following countries/regions: Iran, Syria, Cuba, Crimea and North Korea.
Contract
1. Agreement to be bound
  By clicking “I agree,” or by otherwise signing up for an account, or by accessing or using the IQVIA HCP Space (“Services”), you agree to be bound by these terms and conditions of use (“Terms”) and are entering into a fully binding contract with us, IQVIA Operations France SAS, with registered address in 17bis, place des Reflets – Tour D2 TSA 64567 92099 La Défense cedex (“IQVIA”, “we” or “us”). You and we are collectively referred to as the “Parties.”
  Please read these Terms carefully, and do not sign up for an account or use the Services if you are unwilling or unable to be bound by these Terms.
2. Modifications to the Terms
  We may modify these Terms, our Privacy Policy and our cookies policy from time to time. If we need to make material changes, we will notify you through our Services or by email so you have the opportunity to review the changes before they come into force. If you object to any changes, you may close your account; please refer to the “Termination of use of the Services” section below. If you continue to use the Services after we publish or send a notice about the changes to the Term, this means that you are agreeing to the updated Terms as per the communicated effective date. We agree that no changes shall take effect retrospectively.
Purpose of Services
The purpose of the Services is to facilitate:
1. the collaboration of HCPs and to enable them to upload, access, share, publish and use information as it pertains to medical information, diagnosis, prognosis, innovative methods in treatment and learning recommendations about the treatment of patients. No information capable of identifying individual patients or that may constitute a breach of patient confidentiality may be shared via the Services. Please refer to Annexure 1 for more details.
2. the promotion of career options, conferences, events, healthcare news, and research opportunities;
3. networking with other HCPs, pharmaceutical companies, hospitals, pharmacies etc;
4. assistance with your continuous medical education through access to medical and scientific content, information on upcoming medical conferences, CMEs, events, healthcare news and research opportunities etc
5. networking with various industry stakeholders including pharmaceutical companies, hospitals, pharmacies, medical associations etc, through sponsored microsites (“Microsite”). A Microsite is a closed space within HCP Space which aims to engage a specialized group of HCPs and can be accessed by invitation only. IQVIA may set up Microsites on behalf of healthcare industry stakeholders who may sponsor content, studies or events in order to facilitate HCP engagement. You may be invited to join one or more Microsites by us, or you may request to join one or more relevant Microsite.
You agree to use the Services only for the purposes as herein described and that IQVIA may, in its sole discretion, temporarily or permanently disable your access to the Services in case of a misuse by you.
You understand and agree that the Services are not intended to be a storage solution. You agree that we have no obligation to store, maintain or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy.
Service eligibility
The Services are for the use by registered HCPs only. NO HCP is eligible/permitted to be a member of HCP Space or even use the HCP Space if you are a resident of any of the following countries/regions: Iran, Syria, Cuba, Crimea and North Korea.
You agree that you shall at all times while using the Services have the necessary licenses (professional certificates or accreditation certificates) in place to operate as HCP. You herewith confirm that you are not a resident of the excluded countries/regions as listed above. If you no longer have status as an HCP or become a resident of the excluded countries listed above, you agree that you will stop using the Services and terminate your account. Upon our request, you shall certify compliance with this provision to us in writing. We may, but are not obliged to, verify such compliance.
License to use Services
1. License Grant
  We herewith grant to you a non-exclusive, non-transferable license, without rights to sublicense, to use the Services for yourself. This license is granted to you free of charge. We may revoke this license at any time at our sole discretion.
2. Restrictions
  The Services may not be copied, modified, or used other than as permitted by these Terms. You will not, and will not permit or authorize third parties to:
  1. rent, lease, or otherwise permit third parties to access or use the Services or Documentation;
  2. use the Services to provide services to third parties (e.g. as a service bureau);
  3. reverse engineer, reverse assemble or otherwise attempt to gain access to the source code of all or any portion of the Services;
  4. circumvent or disable any security or other technological features or measures of the Services; or
  5. violate the additional terms of use as per attached Annexure 1.
Your Account
You agree that you will only have one account to use the Services which must be in your real name. Creating an account with false information is a violation of these Terms. You understand and agree that unless you close your account or report a misuse of your account to us, you are responsible for anything that happens through your account. Please report any suspected misuse of your account to us at DLE-HCPSupport@imshealth.com.
1. User IDs
  When you initially sign up to the Services, we will check your status as registered HCP. You will be provided with a Unique User ID on successful completion of the sign-up process. You will be provided with 'read-only' access to view medical information until your medical credentials as requested are certified and / or validated successfully. Your user ID is unique to you and you must not allow any third parties to use your user ID to access the Services.
2. Passwords
  You will be required to protect your user account by selecting a password. You agree that you will adopt and maintain reasonable and appropriate security precautions to protect your password from disclosure to or use by any unauthorized persons. You agree that you will not share your password with anyone else.
3. Security and Safeguards
  You will implement and maintain appropriate administrative, physical and technical safeguards to protect information within the Services and in connection with your use of the Services. If you become aware of a security breach or suspect that a security breach may have occurred, you agree to notify us at the following email address: DLE-HCPSupport@imshealth.com.
Intellectual Property
1. IQVIA Materials
  IQVIA Materials shall remain the sole and exclusive property of IQVIA. IQVIA does not grant, and you do not receive, any other interest in the Services or any IQVIA Materials, except for those rights explicitly granted in these Terms. "IQVIA Materials" shall mean the Services and all data, databases, data models, methodologies, know-how, ideas, concepts and discoveries and other materials compiled, developed, obtained or generated by IQVIA in its performance of the Services, and any derivatives, modifications or enhancements of the foregoing. All proprietary notices incorporated in, marked on, or affixed to the Services or other Confidential Information by IQVIA shall be replicated by you on all copies of all or any part of the Services and shall not be altered, removed or obliterated.
2. Third Party Materials
  Third Party Materials shall remain the sole and exclusive property of such third party providing the material. Third party does not grant, and you do not receive, any other interest in any information / intellectual property rights (IPR) in any Third Party Materials, except for those rights explicitly granted in these Terms. "Third Party Materials" shall mean the information and services and all content, databases, know-how, ideas, concepts and discoveries and other materials compiled, developed, obtained or generated by third parties on HCP Space, including but not limited to, content provided by other users and any third party content. All proprietary notices incorporated in, marked on, or affixed to Third Party Materials by the relevant third party shall be replicated by you on all copies of all or any part of the Services and shall not be altered, removed or obliterated.
3. Your User Content
  Each user retains the rights to the copyrighted content and information that he or she submits or posts to the Services ("User Content"), except as described herein. You are solely responsible for your User Content and you promise to ensure that it (i) complies with the requirements of the “Compliance” section below and (ii) that any information you post contains no content which violates the intellectual property rights of others. We are under no obligation to publish your User Content and can remove it at any time with or without notice. When you add User Content on our Services, you need to be aware and agree that others can see, copy and use that information. Our Services allow messaging and sharing of information in various ways, such as your profile, articles, message boards, links to news articles, job postings, messages. User Content that you share or post may be seen by other HCP Service Users, IQVIA and third parties (such as sponsors of Microsites). Where we have made settings available for you to control who can have access to your User Content, we will honour your choices.
4. Use of User Content by IQVIA
  As between you and IQVIA, you own your User Content. You are only granting IQVIA a worldwide, non-exclusive, transferable and sublicensable right to use, copy, modify, distribute, publish and process, your User Content, without any further consent, notice and/or compensation to you or others. These rights you grant to IQVIA are limited as follows:
  1. You can end this license for specific content by deleting such content from the Services, or generally by closing your account, except (i) to the extent you shared it with others as part of the Service and they copied, re-shared it or stored it and (ii) for the reasonable time it takes to remove from backup and other systems.
  2. We will not include your content in advertisements for the products and services of third parties to others without your separate consent (including sponsored content). However, we have the right, without payment to you or others, to place advertisements near your content and information. If you use a Service feature, we may mention that with your name or photo to promote that feature within our Services, subject to your privacy settings, and you provide your consent to us for such use of your image.
  3. We will ask for your consent if we want to give others the right to publish your User Content beyond the Services.
  4. While we may edit, cut, annotate, illustrate, provide any other comments, modify and make format changes to your User Content at our own discretion (such as translating or transcribing it, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression and content.
  5. Because you own your User Content and we only have non-exclusive rights to it, you may choose to make it available to others. If you do so, this is done under your sole responsibility.
  By submitting suggestions or other feedback regarding our Services to IQVIA ,including in particular but not limited to, any surveys we may conduct through the Services, you agree that we can use and share (but are not obliged to do so) such feedback for any purpose without compensation to you. You and IQVIA agree that if such content includes personal data, it is subject to our Privacy Policy. You agree that IQVIA may access, store, process and use any information and personal data that you provide in accordance with the terms of the Privacy Policy and the choices you make in the account settings.
5. Notice of copyright infringement
  If you believe in good faith that your copyright has been infringed, please contact us at DLE-HCPSupport@imshealth.com and provide details about the copyrighted work you believe has been infringed as well as your contact details so we may contact you to investigate this further.
Compliance; complaints regarding content
1. Your User Content
  You are responsible for ensuring that any of your User Content you make available to others through the Services is accurate and not in violation of any intellectual property rights of others or any other applicable laws or codes of conduct. You warrant that you have full rights to any electronic file, database, data and/or other information or material you upload to HCP Space and you agree to fully indemnify and hold harmless IQVIA against any claims from third parties that such User Materials infringe their intellectual property rights.
  As HCP Space user, you are required to behave in a lawful and professional manner and to adhere to the additional terms which include rules about content that may be posted as set out in Annexure 1. In particular, you agree that you will refrain from sharing patient identifiable information while using the Services.
  You agree that you will behave in a professional and respectful manner towards other users at all times. You will not post defamatory, obscene, hateful, threatening or otherwise inappropriate or illegal content or airing personal grievances or disputes.
  We reserve the right, at our sole discretion, to remove any offending content and to suspend or permanently disable your access to the Services in case of any violations.
2. Responsibility for Misuse
  You acknowledge that, while the Services will contain certain technical safeguards against misuse of the Services, it will rely to a substantial extent on you and other Service users complying with these Terms and posting any User Content in a responsible and professional manner.
3. Complaints regarding content
  If you find any patient identifiable information being shared on the platform or have any other concern over the content of the Services, we request you to please report this to the HCP Space team on DLE-HCPSupport@imshealth.com.
  Please provide details of the relevant content and your contact details so we may, if necessary get in touch with you to further look into the issue.
Notifications and communication
By registering on HCP Space, you agree to receive notifications and communications from HCP Space related to platform activities, technical updates, updates of these Terms and other essential notifications related to the Services. The means of contacting you will depend on the contact details you provide to us in your profile. You acknowledge and agree that we shall have no liability associated with or arising from your failure to maintain accurate contact or other information, including, but not limited to, your failure to receive critical information about the Service. By accepting the Terms, you agree to receive promotional notifications from HCP Space through channels related to the contact details that you provided to us.] You may opt-out of receiving certain promotional notifications from HCP Space by visiting Settings section of your account.
Please note, even after opting out of the promotional notifications you will continue to receive essential communications in order to facilitate usage of HCP Space. The essential communication constitutes but is not limited to reset password support, security updates, Terms and Condition updates, new service or feature update, and invitation to join Microsites.
Third party content
1. General
  Your use of content published or posted on our Services is entirely at your own risk. You understand and agree that any content you encounter may be inaccurate, incomplete, delayed, misleading, offensive or otherwise harmful. We generally do not review content posted by the Service users or by third parties and you agree that we are not responsible for others’ (including other Service users’ and third party) content or information. We cannot always prevent the misuse of our Services and you agree that we are not responsible for any such misuse.
2. Advertisements
  IQVIA may place advertisements concerning products, events, conferences and services of IQVIA or third parties throughout the Services, so that you see them when you use the Services. IQVIA may receive remuneration from third parties for placing their advertisements. IQVIA may use computerized processes to tailor the advertisements to you or your use of the Services. However, except as expressly permitted by these Terms or by our policies and procedures, unless IQVIA obtains your consent, IQVIA will not disclose to any third party any information that identifies you to enable the third party to market products or services to you directly.
  By placing any advertisements, we do not endorse or recommend the advertised products or services or the company providing the services or products. You agree that it will be your sole responsibility to evaluate any advertised services or products and will make an independent decision with regards to their suitability for your purposes.
3. Clinical support information
  HCP Space may contain clinical support information such as information about digital health, general health-care related information and resources and e-learning courses. HCP Space may also provide forums for you and other users to exchange information. You agree that the information and materials available through the Services are for informational and educational purposes only and are not intended to constitute professional advice, diagnosis or treatment, or to substitute your professional judgment.
  IQVIA is not responsible for the accuracy or completeness of information available from or through the Services. You assume full risk and responsibility for the use of information you obtain from or through the Services.
4. Conferences and other events
  We may advertise or help you register for and/or attend conferences or other events. You agree that where such events or conferences are conducted by third parties (i) we do not endorse any particular event listed on our Services as we do not review and/or vet any of these events and (ii) that we are not responsible for the conduct of such conferences or events.
Regulatory disclosures – Pharmacovigilance reporting
To the extent you are required under applicable law to report adverse reactions, medication errors or other similar events to a local medical regulator or authority, you understand and agree that seeking to report, detail or otherwise disclose such events through the Services will not discharge your reporting obligation in any way. You must make any required regulatory disclosure directly to your applicable local medical regulator or authority.
Modification of Services
We may modify, adapt or change the Service's features, the user interface and design, the extent and availability of the contents in the Services and any other aspect related to the Services at any time. You agree that you will have no claim, complaint or demand against IQVIA for applying such changes or for failures incidental to such changes.
You may manage your use of specific elements of the Services by visiting the “Settings” section of your account.
Termination of Use of Services
You may terminate this contract and your use of the Service at any time and for whatever reason, without notice to IQVIA. You can do so by visiting the “Settings” section of your account and opting for:
1. “Deactivate Account” for temporary discontinuation of Services. Opting for deactivation will result in discontinuation of HCP Space Services and communications. Your account can be reactivated once you login to HCP Space.
2. “Delete Account” for permanent discontinuation of the account. This will result in deletion of all data related to you, and your activity on HCP Space. In order to access HCP Space again, you can choose to create a new account.
We reserve the right to change, suspend or discontinue any of the Services or your access thereto, at any time and for any reason.
The following shall survive termination:
1. Our rights to use and disclose any feedback you may have provided to us regarding the Services
2. Sections 7,14,15 and 16.4 of these Terms.
Warranty and Disclaimer
IQVIA provides the Services and content included therein for use on an "as is" and "as available" basis. They cannot be customized to fulfill the needs of individual users. Other than those warranties which are implied by applicable law and are incapable of exclusion, restriction or modification, we disclaim all warranties and representations, either express or implied, with respect to the services, including, without limitation, any warranties of merchantability, and fitness for a particular purpose, features, quality, non-infringement, title, compatibility, performance, security or accuracy.
You agree and acknowledge that you assume full, exclusive and sole responsibility for the use of the Services by you and that the use of the Services is entirely at your own risk. In particular, you assume sole responsibility for the use, selection and suitability of any information you access through the Services to your needs and objectives. In addition, IQVIA shall not be liable for any expressions of opinion, evaluations or forecasts contained within the Services.
IQVIA does not accept responsibility for the accuracy of any Third Party Materials (including content posted by other HCPs) made available to you or accessible by you as part of the Services.
Limitation of Liability
To the fullest extent permitted by applicable law, IQVIA, including its officers, directors, shareholders, employees, sub-contractors and agents will not be liable for any direct, indirect, incidental or consequential damage, or any other damage, and loss (including loss of profit and loss of data), costs, expenses and payments, either in tort, contractual, or in any other form of liability, arising from, or in connection with your use of, or your inability to use the Services, or from any failure, error, or breakdown in the function of the Services, or from any fault, or error made by our staff or anyone acting on our behalf, or from your reliance on the content of the Services, including, without limitation, content originating from third parties, or from any communication with the Services, or with other users on or through the Services, or from any denial or cancellation of your user account, or from retention, deletion, disclosure and any other use or loss of your content posted to the HCP Space site.
Miscellaneous
1. Assignment
  Neither these Terms nor any license granted by us to you hereunder may be assigned or transferred by you to any third party in any way whatsoever without our prior written consent.
2. Fees
  The current use of the Services is without charge for HCPs. We may in the future introduce premium services which may incur a charge to the HCP users. In this case, we will notify our HCP users in advance of the premium services and applicable terms and conditions so you can decide whether you wish to take up the premium services for a fee.
3. Compliance with Laws
  These Terms are subject to any governmental laws, orders or other restrictions on the export of software and related information that may be imposed by governmental authorities. You shall comply with any governmental laws, orders or other restrictions on the export and re-export of software (including technical data and any related information and documentation) which may be imposed from time to time.
4. Governing Law and Dispute Resolution
  These Terms shall be governed by and construed under the laws of England and Wales. In the unlikely event that we and you end up in a legal dispute, we and you agree to resolve it in the competent courts in England.
5. Notices
  Any legal notices you wish to provide to us you shall provide to us at our registered address.
6. Entire Agreement
  These Terms, together with the Annexures and incorporated material, constitute the entire agreement between you and us and supersede all previous and contemporaneous communications, representations, understandings or agreements related to the subject matter hereof.
7. Other engagements
  IQVIA may invite some HCP users to collaborate with IQVIA for example by hosting Webinars, lead surveys or author certain content for HCP Space. In case you are invited to participate in such an engagement or collaboration, you and IQVIA will enter into a separate agreement governing the terms of this engagement or collaboration.
Annexure 1: Additional Terms for Using IQVIA HCP Space
In using the Services, you agree that you will NOT:
1. Act in an unlawful or unprofessional manner in connection with our Services or towards other users including being dishonest, abusive or discriminatory;
2. Post defamatory, obscene, hateful, threatening or otherwise immoral or inappropriate content or airing personal grievances or disputes;
3. Misrepresent your identity or employment history or using someone else’s likeness for your profile picture;
4. Create a false identity on HCP Space
5. Create a user profile for anyone other than yourself,
6. Use or attempt to use or access another user’s account;
7. Post any unsolicited or unauthorized advertising on HCP Space;
8. Develop, support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology or manual work) to scrape the Services or otherwise copy or use profiles and other data from the Services other than for the intended purposes as set out in these Terms;
9. Bypass or circumvent any access controls or Service use limits (such as caps on keyword searches);
10. Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), in any way that breaches another person’s intellectual property rights or is illegal;
11. Pass on email addresses or other personal information from other users of the Services without their permission;
12. Use, disclose or distribute any data obtained in violation of these Terms;
13. Disclose information that you do not have the right to disclose (such as confidential information of others (including your employer));
14. Share any patient identifiable information on the platform without the patient’s explicit consent -.
15. Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets, or other proprietary rights.
16. Violate the intellectual property or other rights of HCP Space, including, without limitation, (i) copying or distributing our learning videos or other materials (ii) copying or distributing our technology, unless it is released under open source licenses; (iii) using the word “HCP Space” or our logos in any business name, email address, or URL
17. Post anything that contains software viruses, worms, or any other harmful code with an intent to damage HCP Space or any of its functionality.
18. Manipulate identifiers in order to disguise the origin of any message or post transmitted through the Services.
19. Create or operate a pyramid scheme, fraud or other similar practice;
20. Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology that is not open source;
21. Imply or state that you are affiliated with or endorsed by HCP Space without our express consent (e.g., representing yourself as an accredited HCP Space trainer or agent or employee);
22. Rent, lease, loan, trade, sell/re-sell access to the Services or related data;
23. Sell, sponsor, or otherwise monetize any Service without our consent;
24. Deep-link to our Services for any purpose not envisaged herein;
25. Remove any copyright, trademark or other proprietary rights notices contained in or on our Service;
26. Remove, cover or obscure any advertisement included on the Services;
27. Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;
28. Monitor the Services’ availability, performance or functionality for any competitive purpose;
29. Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services;
30. Overlaying or otherwise modifying the Services or their appearance;
31. Access the Services except through the interfaces expressly provided by HCP Space, such as its mobile applications;
32. Use a Service for tasks that it is not intended for;
33. Override any security feature of the Services;
34. Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms); and/or
35. Violate any terms concerning a specific Service that are provided when you sign up for or start using such Service.

Terms and Conditions of Use of IQVIA HCP Space
